1. Introduction
Welcome to ZyvenTech (“we,” “our,” or “us”). These Terms & Conditions govern your access to and use of our website, https://zyventech.com, and the services we provide.
By accessing our website, contacting us, requesting a quotation, or engaging our services, you agree to these Terms & Conditions. If you do not agree, please discontinue using our website and services.
2. Our Services
ZyvenTech provides digital services, which may include:
- Website design and development
- WordPress website development and customization
- E-commerce website development
- Search engine optimization (SEO) and local SEO
- Social media marketing
- Google Ads and Meta Ads management
- Mobile application development
- Website performance optimization
- Custom website security audits and WordPress security audits
- Digital strategy, consulting, and related services
The exact scope, deliverables, timelines, and pricing of each project will be agreed upon separately in a written quotation, proposal, contract, or other written confirmation.
3. Quotations and Project Agreements
All quotations are based on the requirements and information available when they are prepared. A quotation may be revised if the project scope, requirements, or deliverables change.
Work will begin after the required approval, advance payment, and materials have been received, as agreed with the client.
Any project-specific agreement will take precedence over these general Terms & Conditions where the two conflict.
4. Pricing and Payments
Service fees, payment schedules, advance payments, taxes, and other applicable charges will be communicated before work begins.
Unless otherwise agreed in writing:
- Clients must pay invoices by their stated due dates.
- Additional work outside the agreed scope may incur extra charges.
- Project delays caused by late payments or missing client materials may affect delivery timelines.
- Any applicable taxes will be handled as specified in the quotation or invoice.
- Refunds, cancellations, and payments for completed work will be handled according to the applicable project agreement and applicable law.
We will communicate any agreed payment milestones before commencing the relevant work.
5. Project Timelines and Client Responsibilities
We make reasonable efforts to complete projects within the agreed timelines. However, delivery dates may change due to delayed feedback, missing content, scope changes, third-party service issues, or circumstances outside our reasonable control.
Clients are responsible for:
- Providing accurate information, content, images, and other required materials.
- Ensuring they have the necessary rights to supplied materials.
- Reviewing designs, content, and deliverables within agreed timeframes.
- Providing timely feedback, approvals, and access to relevant accounts.
- Keeping their own account credentials secure.
We are not responsible for delays directly caused by the client's failure to meet these responsibilities.
6. Revisions and Changes to Scope
The number and type of revisions included in a project will be specified in the relevant quotation or project agreement.
Requests that go beyond the agreed scope may require additional fees and time. We will communicate significant changes to the scope, cost, or delivery schedule before proceeding with the additional work.
7. Website Ownership and Intellectual Property
Ownership and usage rights for project deliverables will be governed by the applicable project agreement.
Unless otherwise agreed in writing:
- Clients retain ownership of materials they provide, subject to the rights of their original owners.
- Third-party themes, plugins, fonts, software, images, and other licensed assets remain subject to their respective licence terms.
- Custom deliverables may be transferred to the client after all agreed payments have been received, subject to third-party rights and the project agreement.
- ZyvenTech retains ownership of its pre-existing tools, reusable components, internal methods, and proprietary materials.
- We may display completed work in our portfolio or promotional materials only as permitted by the applicable agreement and any confidentiality commitments.
Clients are responsible for ensuring that content they supply does not infringe another party's intellectual property rights.
8. SEO and Digital Marketing Disclaimer
SEO and digital marketing results depend on many factors, including competition, website quality, industry conditions, advertising budgets, platform policies, and search engine algorithms.
ZyvenTech does not guarantee:
- Specific search engine rankings or positions.
- A particular amount of website traffic, leads, sales, or revenue.
- Approval for Google AdSense, advertising accounts, or other third-party platforms.
- Uninterrupted advertising campaigns or unchanged advertising costs.
We will make reasonable efforts to deliver the agreed services but cannot control independent search engines, advertising platforms, or their decisions.
Advertising spend paid to Google, Meta, or other platforms is separate from our service fees unless expressly stated otherwise.
9. Website Security Audits
Website and WordPress security audits are intended to identify potential vulnerabilities, weaknesses, and recommended improvements within the agreed scope.
No audit can guarantee that a website or application is completely secure or free from vulnerabilities. Security conditions can change after an audit because of new threats, software updates, configuration changes, or third-party services.
We will perform security testing only with appropriate authorization. Clients must ensure they have the legal authority to authorize testing of the relevant systems.
Any remediation, malware removal, incident response, or additional security work will be included only if specified in the applicable agreement.
10. Client Portal and Accounts
If you use the ZyvenTech Client Portal, you agree to provide accurate information and keep your login credentials confidential.
You must not:
- Access another client's account or information without authorization.
- Attempt to bypass access controls or interfere with portal security.
- Upload unlawful, malicious, or unauthorized content.
- Use the portal to disrupt our services or violate another person's rights.
You should notify us promptly if you suspect unauthorized access to your account.
We may restrict or suspend portal access when reasonably necessary for security, maintenance, legal compliance, or investigation of suspected misuse, subject to applicable law and any contractual commitments.
11. Third-Party Services
Our services may rely on third-party hosting providers, domain registrars, payment processors, plugins, themes, APIs, analytics tools, and advertising platforms.
These third-party services are generally governed by their own terms, licences, availability, and privacy policies. We are not responsible for independent changes, outages, decisions, or policies of third-party providers beyond our control.
Any third-party fees or subscriptions that the client must pay will be communicated where applicable.
12. Confidentiality and Privacy
We will handle personal information in accordance with our Privacy Policy and applicable law.
Both parties should protect confidential information received during a project and use it only for legitimate purposes related to the engagement, subject to applicable law and any separate confidentiality agreement.
Confidentiality obligations do not apply to information that is lawfully public, already known without a confidentiality obligation, independently developed, or required to be disclosed by law.
13. Acceptable Use
You agree not to use our website, services, or Client Portal to:
- Violate any applicable law or regulation.
- Infringe intellectual property, privacy, or other legal rights.
- Distribute malware, spam, fraudulent material, or harmful content.
- Attempt unauthorized access to systems, accounts, or data.
- Misrepresent your identity or submit knowingly false information.
- Interfere with the proper operation or security of our website or services.
We may take reasonable action to address suspected misuse, subject to applicable law and contractual obligations.
14. Limitation of Liability
To the extent permitted by applicable law, ZyvenTech will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website or services, including loss of profits, business opportunities, data, or anticipated savings.
We do not exclude or limit liability where such exclusion or limitation is prohibited by applicable law, including liability that cannot legally be waived.
Any other limitations of liability, including any applicable financial cap, must be expressly agreed in the relevant project agreement and will apply only to the extent permitted by law.
15. Indemnity
To the extent permitted by applicable law, clients are responsible for claims arising from unlawful materials or instructions they provide, their unauthorized use of our deliverables, or their infringement of third-party rights.
This provision does not apply to the extent a claim results from our own breach of contract, unlawful conduct, or other liability that cannot legally be excluded.
16. Suspension and Termination
Either party may terminate a project in accordance with the relevant project agreement.
If a project is cancelled or terminated, outstanding fees, payments for completed work, work in progress, refunds, and transfer of deliverables will be handled under the agreed cancellation terms and applicable law.
We may suspend services where reasonably necessary because of non-payment, security risks, unlawful activity, or a material breach of these Terms, subject to applicable law and contractual obligations.
17. Website Availability and Changes
We aim to keep our website available and accurate, but we do not guarantee uninterrupted access or that every item of information will always be current or error-free.
We may update, modify, or discontinue website features and content. Such changes will not override existing project commitments except as permitted by the applicable agreement and law.
18. Governing Law and Disputes
These Terms & Conditions will be governed by the laws of India, subject to applicable mandatory legal requirements.
If a dispute arises, the parties will attempt to resolve it through good-faith discussions. If the dispute cannot be resolved informally, it may be referred to the appropriate courts or dispute-resolution process in accordance with applicable law and any valid written agreement between the parties.
19. Changes to These Terms
We may update these Terms & Conditions from time to time. The revised version will be published on this page with an updated “Last Updated” date.
Your continued use of our website after an update does not override any legal requirements for consent or notice. Any changes to an existing project agreement will be handled under that agreement.
